Brad Pitt’s Plan B Entertainment Sells 60% Stake Sold to Mediawan

Brad Pitt, the renowned Oscar-winning actor behind iconic films like “Once Upon a Time in Hollywood” and “Fight Club,” is making headlines yet again, but this time it’s not for his on-screen charisma.

According to insider sources, he’s in the midst of a deal about to shake up the entertainment industry. Brad Pitt is selling a substantial 60% stake in his production company, Plan B Entertainment, to the French media powerhouse, Mediawan. While the official announcement is slated for this weekend, let’s delve into what we know.

A Strategic Move

Although the exact figures remain undisclosed, this intriguing deal has already been inked. However, insiders suggest it values Plan B Entertainment at a staggering sum in the hundreds of millions but falls just below the $500 million mark. As both parties, Plan B and Mediawan, have maintained tight lips regarding the agreement’s specifics, relying on these clandestine sources is essential for now.

The Genesis of Plan B

Founded in 2001, Plan B Entertainment is the brainchild of Brad Pitt, who ventured into this endeavor alongside his then-wife, Jennifer Aniston, and his then-manager, Brad Grey (who passed away in 2017). Following his divorce from Aniston, Pitt assumed sole ownership of the production company, steering it towards remarkable achievements.

A Legacy of Excellence

Over the past two decades, Plan B Entertainment has made an indelible mark in the film and television industry. The company boasts an impressive portfolio that includes Academy Award-winning gems like “The Departed” and “12 Years a Slave.”

Their recent works continue to captivate audiences, with projects such as “Blonde,” a fictionalized portrayal of Marilyn Monroe for Netflix, and “She Said,” a gripping narrative that delves into The New York Times’ investigation of sexual assault in Hollywood.

On television, Plan B has delivered compelling content like HBO’s critically acclaimed “The Normal Heart,” directed by Ryan Murphy, and Amazon Prime Video’s thought-provoking 2021 miniseries, “The Underground Railroad.”

The Streaming Revolution

In the ever-evolving media consumption landscape, independent production studios have become highly coveted assets for large media corporations aiming to expand their streaming services.

A prime example is Reese Witherspoon, who sold a majority stake in her company, Hello Sunshine, to Candle Media, founded by Disney veterans Kevin Mayer and Tom Staggs. This landmark deal valued Hello Sunshine at an impressive $900 million. Candle Media also recently acquired a minority stake in Westbrook Inc., founded by the dynamic duo of Will Smith and Jada Pinkett Smith.

Meet Mediawan

Mediawan, the French media conglomerate making waves with this acquisition, is a content studio producing various movies and TV series across Europe and the United States.

With ownership of more than 60 production labels, it’s clear that Mediawan has a firm grip on the entertainment landscape. The company was co-founded by Chairman Pierre Antoine-Capton, who is poised to steer the ship towards new horizons with the addition of Plan B Entertainment.

The Deal Makers

It takes seasoned professionals to navigate the complexities of a transaction of this magnitude. The boutique investment bank Moelis played a pivotal role in facilitating the sale on behalf of Plan B Entertainment. However, as is customary in such high-stakes negotiations, a spokesperson for Moelis has refrained from making any official comments.

It wasn’t too long ago recently that I finally got the chance to see ‘ Minari ’. And while I didn’t review it, my thoughts on the masterpiece of a film pretty much echo Hollywood Insider’s review (and those who’ve already sung the movie’s praises) and its sentiments: it’s a moving exploration of the American Dream told through a specific cultural point of view while also feeling universal, with pitch-perfect performances and thoughtful directing. But I already had a feeling I was in good hands when the film started and I saw the production logos for both A24 and Plan B.

We’ve covered A24 in the past: it and Annapurna Pictures are among the best studios right now in championing individual voices and creative freedom for auteurs and filmmakers. And one production company in particular that shares their love of bold visions and occasionally collaborate with them is Plan B Entertainment, co-founded by Brad Pitt ; in fact, a good number of their films have gone on to critical acclaim and/or awards success. So with that in mind, let’s take a look at the production company behind some of the more intriguing films to come out in recent years.

A Brief History and The Goal of Plan B Entertainment

Pitt co-founded Plan B Entertainment in 2001 with then-wife Jennifer Aniston and the late veteran movie producer Brad Grey . Among the company’s first features were the 2004 historical epic ‘ Troy ’, which starred Pitt, and Tim Burton’s ‘ Charlie and the Chocolate Factory ’ in 2005. That same year Pitt became the company’s sole owner after he and Aniston separated and Grey left to become the CEO of Paramount Pictures. 2006 saw the release of Martin Scorsese’s ‘ The Departed ’, which Pitt co-produced; that film went on to win Best Picture at the Academy Awards and it would be the first of several Plan B productions to either win Best Picture or be nominated.

With Pitt as the company’s CEO, film producer Dede Gardner served as president for several years until she was joined by Jeremy Kleiner with the two serving as co-presidents since 2013. Gardner and Kleiner do the bulk of the work in terms of setting up and guiding new projects and seeking talent, with Pitt presumably being more hands-off (with the possible exception of films that feature him) or mostly taking executive producer roles. Nevertheless, he has established a company mindset in which the duo are encouraged to seek out and back interesting works.

“Brad Pitt has encouraged a culture of that: watching and trying to understand what an artist is doing and what they want to say”, said Kleiner in a 2016 conversation with IndieWire. “If you read about something that causes you to be curious about it, follow the curiosity and see where that takes you. That philosophy has led us to some very interesting people and their films”. Gardner echoed the sentiment in the same conversation, saying Pitt “believes in the shelf life of movies, he doesn’t believe in the notion that a movie has to see a successful opening weekend to work. He reminds us all the time of the movies that we discovered long after their initial release, and he believes that we should tell stories that we feel like we would die if we didn’t…It’s enabled us to be very liberated in our ambitions”. And indeed that mindset has led the company to work with some very talented filmmakers.

Looking at the Plan B Films Featuring Brad Pitt

It stands to reason that when you have your own production company, you’d leverage the opportunity to have more control over your career and projects whenever possible. And Pitt is no different, co-producing some of the films he’s starred in. The most commercial and mainstream of them is definitely ‘ World War Z ’, which is exactly what it promises: a zombie action horror film on a global scale. Nothing wrong with that, and I remember enjoying it when I first saw it. In second place would probably be ‘ Moneyball ’: though a sports movie (a generally reliable subgenre), it offered something different by focusing on a niche subject—the true story of how a baseball manager built a team through unorthodox statistics—and still turning it into an accessible and captivating drama.

But some of his other acting vehicles were a bit riskier. ‘ The Assassination of Jesse James by the Coward Robert Ford ’ deconstructs the Jesse James myth through a contemplative and revisionist take on the Western. ‘ The Tree of Life ’, from director Terrence Malick , is an epic yet meditative exploration of the meaning of life told through the prism of a Texas family: not exactly a four-quadrant movie. ‘ Killing Them Softly ’ is a pitch-black deconstruction of the gangster movie with a very cynical outlook on America. And while it is a space adventure movie, ‘ Ad Astra ’ is definitely a more cerebral and slow-paced fare. Still, Pitt managed to shepherd these films to critical acclaim even if general audiences were more lukewarm.

And he also had a hand in producing films that featured him in smaller supporting roles, like ‘ The Big Short ’ and ‘ 12 Years a Slave ’. One is a bleak yet very entertaining examination of the 2007-2008 financial crisis, and the other is a brutal and powerful look at American slavery. And both films went on to critical acclaim and success at both the box office and the Academy Awards. As you can see, being an actor-producer gives Pitt the chance to star in and make the kind of movies he wants to make: to take risks and follow his own personal interests.

Encouraging Return Collaborations

And said risk-taking extends to Plan B projects that don’t feature him in the cast. That willingness to give filmmakers creative freedom and let them take risks is enticing: it’s how we get offbeat takes on the con artist movie (‘ Kajillionaire ’) and the superhero genre (the ‘ Kick-Ass ’ movies ). And it fosters a good working relationship, such that repeat collaborations with the company follow.

Both ‘Jesse James’ and ‘Killing Them Softly’ were written and directed by Australian filmmaker Andrew Dominik and his upcoming film ‘ Blonde ’, a fictionalized take on the life of Marilyn Monroe starring Ana de Armas , is also produced by Plan B. The company also backed two Adam McKay -directed films: ‘The Big Short’ and Dick Cheney’s biopic ‘ Vice ’. ‘Ad Astra’ and the haunting period adventure drama ‘ The Lost City of Z ’ both hail from writer-director James Gray . And David Michôd wrote and directed both ‘ War Machine ’ (a satire of the war in Afghanistan which starred Pitt) and the Shakespeare-inspired ‘ The King ’.

Plan B was even a pretty frequent collaborator of Ryan Murphy . They produced two of his films: 2006’s ‘ Running With Scissors ’, and ‘ Eat Pray Love ’ starring Julia Roberts . On the TV side of things they co-produced his 2008 TV pilot ‘ Pretty/Handsome ’ which wasn’t picked up; they also co-produced the critically-acclaimed TV movie ‘ The Normal Heart ’, which tackled the AIDS crisis, and the miniseries ‘ Feud: Bette and Joan ’.

Championing Diverse Filmmakers and Stories

We already mentioned ‘Minari’ at the top of the article. That film is a good example of Plan B’s commitment to seeking out stories that are interesting or offer a different perspective. And a side effect of that is greater visibility and representation for stories from POC filmmakers.

In the case of ‘12 Years a Slave’, that film also served as a breakthrough hit for director Steve McQueen . And one year later in 2014, we got ‘ Selma ’, a riveting and star-studded look at the Selma to Montgomery voting rights marches led by Dr. Martin Luther King Jr. ( David Oyelowo ); and likewise the success of ‘Selma’ boosted the profiles of both Oyelowo and director Ava DuVernay . Plan B is also responsible for Bong Joon-ho’s follow-up to ‘ Snowpiercer ’, the genre-bending and idiosyncratic ‘ Okja ’: a movie about a young Korean girl and her animal best friend that’s also a commentary on the meat industry and definitely not family-friendly. And in 2019 there was ‘ The Last Black Man in San Francisco ’, a poignant tale of a young Black man’s efforts to reclaim his family home in the face of an increasingly gentrified city which benefited from lead actor Jimmie Fails’ personal connection to the story.

Related article:  Brad Pitt Trending: Why I Am Ecstatic for All the Love From Fans

Circling back to repeat collaborations, the ones that almost immediately came to mind come from writer-director Barry Jenkins . Plan B had the good fortune of shepherding two of Jenkins’ works, both of them critically-acclaimed and award-winning masterpieces. ‘ Moonlight ’ is a sensitive and incredible coming-of-age tale/character study of a young gay Black man in Miami, as well as a look at the complicated family dynamics found in the Black community. And ‘ If Beale Street Could Talk ’ is a moving story of enduring Black love in the face of overwhelming institutional racism. And it would appear that Jenkins is happy with his collaborations, such that they’re reteaming for the upcoming Prime Video limited series ‘ The Underground Railroad ’ based on Colson Whitehead’s Pulitzer Prize-winning novel.

What’s Next?

There’s the aforementioned ‘Blonde’ and ‘The Underground Railroad’. Other projects in development include ‘ Wrong Answer ’ from Ryan Coogler and Michael B. Jordan ; an adaptation of the bestselling novel ‘Women Talking’ from director Sarah Polley and starring Frances McDormand ; a documentary on singer and musician Chris Cornell ; and a reunion with ‘Minari’ director Lee Isaac Chung .

Regardless, the breadth and variety of projects past, present, and in the works is a testament to Plan B’s commitment to stories from talented writers and directors with clear points of view and fresh insights. It’s also a testament to Dede Gardner and Jeremy Kleiner’s good taste in material, and Brad Pitt’s willingness to leverage his star power to produce some great films.

Why Brad Pitt’s Plan B Is Looking for Buyers – and Who Will Ultimately Snatch It Up | PRO Insight

Reese Witherspoon sold her Hello Sunshine production studio last year to Kevin Mayer’s private equity-backed media firm Candle Media for a cool $900 million (Mayer just took center stage at TheWrap’s annual TheGrill event last week). And now it looks like Brad Pitt wants to join Reese’s party and toast her at the M&A cocktail bar.

As reported last week, Plan B has engaged investment bank Moelis & Co. to shop Pitt’s company to potential rabid buyers in yet another sign that the media and entertainment M&A market is heating up. (Read my article from last week where I dive deep into Hollywood’s inevitable mega-M&A with Big Tech.)

But Plan B and Hello Sunshine-style M&A — opportunities to acquire prestige production companies — aren’t driven by today’s brutal “down market” economic forces and low valuations. Rather, the price tags for a piece of Pitt, Witherspoon and others of that prestige ilk are driven by scarcity and the streaming video market’s insatiable need for compelling, differentiated (and hopefully game-changing) content. And that means that Plan B — the company behind Oscar winners “12 Years a Slave” and “Moonlight,” among many other esteemed titles — undoubtedly will fetch top dollar, rather than the kind of distressed selling that potentially awaits some major publicly traded media companies battered by Wall Street (which was the focus of my column last week for TheWrap).

We consumers voraciously consume content. If nothing else, we have demonstrated that in both good times and in bad we take comfort — and eek out our thrills — by sitting on our couches with remote in hand. But we now have seemingly endless choices to meet our “we want it now!” streaming needs. For that reason, it’s been a hyper-competitive streaming market for quite some time. As if that weren’t enough, now things are even more challenged for all major contenders. Let’s face it, all of our pocketbooks (even Brad’s… OK, maybe not Brad’s) continue to be squeezed by turbulent economic times. And that means we must make budgeting choices. Do we really need three or four streaming services, especially when most streamers continue to raise their monthly subscription fees?

Increasingly, the answer is “no” which, of course, puts even more pressure on all streamers in this existential clash of the video titans. This reality causes all of them, even seemingly invincible Apple, to now countenance something that was previously unthinkable — i.e., the dreaded “A” word (“AVOD,” that is, advertising video on demand). And content, content, content — exclusive “Must See TV” content — essentially remains the sole differentiating strategy for customer acquisition and retention for all streaming flavors, SVOD and AVOD. No one has cracked any other code yet.

And that brings us back to Pitt’s “Plan A” — his new M&A Plan B. Pitt and Plan B are prestige names that all major streamers understand and covet. Most of them likely believe that Plan B will continue to produce highly marketable marquee content that draws consumers in — and then keeps them there. To flip the script on that old adage in financial investing, buyers hope that Plan B’s past performance does guarantee future success.

To be clear, a deal to buy Pitt’s Plan B goes well beyond earlier exclusive, but limited term, streaming-driven mega-producer deals like Netflix’s latest $150 million five year extension with Shonda Rhimes and earlier $300 million deal with Ryan Murphy. A buyout of Plan B is an acquisition of the company itself, including its intellectual property (content), and not just the personality (Pitt). It’s a marriage that hopefully lasts a lifetime, not just a multi-year tryst.

In my mega media M&A article last week, I predicted other “A list” boutique production companies that are ripe for the picking for the same reasons. And, just like Witherspoon’s Hello Sunshine (and also as a virtual certainty for Pitt’s Plan B), none of these will go cheap. Prestige studio/distributor A24 falls into this hallowed category of A-list targets. Private equity firms Stripes and Eldridge own a significant chunk, and private equity’s ultimate goal is to sell at massively inflated prices typically within about five years. That will happen here.

Anonymous Content is another likely target. It’s a bit more complex here, because Laurene Powell Jobs’ Emerson Collective owns a significant stake, and she certainly is in no need to sell. But make no mistake, Emerson Collective is a “for profit” company that also exists to achieve powerful financial results. Prices certainly won’t be low here either. But content is more king than ever, and that reality will only deepen over time. That means that today’s “overspending” may be tomorrow’s content bargains. Remember Disney’s $4 billion mega-buy of Marvel Entertainment back in 2009? That don’t look so bad right now, does it?

Also Read: Make No Mistake, Content Spending Isn’t Going Down Anytime Soon | PRO Insight

And just in time for Halloween — and in this “tricky” environment in which content franchises are the new oil — Blumhouse is an obvious “treat.” Blumhouse is a rare entertainment brand that screams quality to its coveted young audience, and it boasts multiple horror franchises that can be (and have been) cost-effectively re-imagined time and time again (to great success and high returns time and time again). Horror sells, so Blumhouse is an obvious market buy. That is, unless Comcast NBCUniversal buys it outright since it’s already engaged in an exclusive first-look deal. The conglomerate is the most obvious buyer if (and this is a big “if”) it holds onto its NBCUniversal media business. That’s not a sure bet, since Comcast’s sexy media business drives significantly lower margins than its lucrative, ever-growing and very unsexy broadband business. Why? Because content is expensive of course. Peacock rival Netflix (well, is Peacock really a rival?) spends roughly $17 billion for content annually.

That brings us back to the central role played by content. Expensive content. So who are the likely buyers for Pitt’s Plan B? With their trillion dollar plus valuations, any one of the mega “Big Tech” streamers could make this move without even blinking (although the antitrust police likely will have their own “say”) . And some ultimately may go shopping, just like Amazon did for storied boutique franchise-laden studio MGM.

But my bet for Plan B is that it will end up with a similar fate to Witherspoon’s Hello Sunshine. Private equity. Even now in this massively down market, private equity is flush with cash. And private equity’s mission is to spend, not hold onto it. That’s great news for Pitt and all the other marquee production companies and boutique studios, since Candle Media certainly isn’t the only game in town. Multiple buyers will go door to door trick-or-treating for all of them. It’s the irresistible candy they seek. And all of that demand means lofty numbers are to be expected. There’s only one Brad Pitt after all.

Brad Pitt’s Plan B Strikes First-Look Deal With Warner Bros. That Could Include HBO Max

Brad Pitt ’s Plan B Entertainment has signed a first-look feature deal with Warner Bros. , which will distribute its films worldwide. The move comes at the tail-end of the company’s previous three-year deal with Annapurna Pictures.

Variety reported that Plan B’s deal with Warners represents a doubling-down of the company’s vision to produce substantive, theatrical films from top filmmakers. But producing films for Warner Bros.’ corporate sibling HBO Max might not be out of the question.

Though it’s best known for awards films released by traditional distributors like the Best Picture winning “12 Years a Slave,” the company has produced several movies for Netflix, including Bong Joon Ho’s “Okja” and its most recently released film, David Michôd’s “The King,” which got a limited release in the fall before it dropped on the service in November.

When striking its first overall TV deal in January, Plan B choose a streamer, Amazon. Barry Jenkins’ “The Underground Railroad,” and graphic novel adaptation “Paper Girls” are among the series in the pipeline for Prime Video.

Representatives for Plan B and Warner Bros. didn’t immediately offer answers to questions about whether Plan B would produce movies for HBO Max. But the streamer’s strategy includes offering both library theatrical titles as well as films produced just for the service.

The deal comes as WarnerMedia got a new boss this month in CEO Jason Kilar, the founding CEO of Hulu and an Amazon veteran. His deep experience in the streaming space shows just how crucial HBO Max is to the company. And as segment-leader Netflix has shown, prestige titles, just like those produced by Plan B, are a key factor in building a winning streaming service.

WarnerMedia has already created a unified Warner Bros.-HBO Max label, Warner Max, which is set to produce eight to 10 films annually for the streamer, with the company describing its place in the world this way: creating “a new pipeline for filmmakers looking to make a particular type of film or connect with a specific audience that would be best reached in the streaming environment.”

The deal brings Plan B back to the studio where it launched in 2002. Among the projects that came out of that relationship was the 2007 Best Picture winner “The Departed.” From 2005 to 2013, it had a deal with Paramount, which distributed Ava DuVernay’s “Selma.”

In 2017 it inked a deal with Annapurna, which handled marketing and distribution of such films as “If Beale Street Could Talk” and “Vice,” released the following year. It was by far the highest-profile deal for Megan Ellison’s company, which last year resolved more than $200 million in debt amid financial turmoil. The pair most recently co-produced Miranda July’s “Kajillionaire,” which was acquired by Universal’s Focus Features after its Sundance premiere.

“Blonde” producer Plan B Entertainment is looking for a new blueprint. The production banner run by Brad Pitt and Dede Gardner has tapped Moelis & Co. to shop for a buyer or potential investors.

The company has a first-look deal for TV with Amazon Studios and a pact with MGM Studios for film.

Reps for Moelis & Co. declined comment. Reps for Plan B could not immediately be reached for comment.

This year, Plan B has been on a roll with the HBO Max streaming hit “Father of the Bride” and the Marilyn Monroe biopic “Blonde.” “Blonde” is seen as a top awards contender this year particularly for star Ana de Armas. Another high-profile Plan B movie title about to hit multiplexes is #MeToo drama “She Said,” starring Samantha Morton and Tom Pelphrey.

As such, the time is ripe to see what the market will bear for Plan B. Production companies with track records of delivering distinctive high-end content have been selling at high valutions. Undoubtedly, Pitt and his partners have watched the recent sales of Reese Witherspoon’s Hello Sunshine to Candle Media, Sony Pictures Television’s purchase of Industrial Media, to name a few.
